Terms of Service
Effective Date: 1 January 2026
These Terms of Service ("Terms") govern your access to and use of the Prebrief platform and related services (together, "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Services.
These Terms are divided into three parts:
- Part A: General Terms (Applies to all users)
- Part B: Terms for Service Professionals (Applies if you use Prebrief to manage your practice)
- Part C: Terms for Clients (Applies if you use Prebrief to receive services)
Part A: General Terms
These terms apply to all users of the Prebrief platform.
1. Using Prebrief
You agree that you will:
- Use the Services only for lawful purposes.
- Comply with all applicable laws, rules, and regulations that apply to you.
- Not use the Services to transmit, store, or distribute unlawful, harmful, or abusive material.
- Not attempt to gain unauthorised access to the Services or any related systems or networks.
2. Accounts & Security
To use certain features, you may need to create an account. You agree to keep your account information accurate and up to date and to maintain the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account. You must notify us promptly if you believe your account has been compromised.
3. Intellectual Property
Prebrief and its licensors own all rights, title, and interest in and to the Services, including all software, content, and branding, except for content that you or your clients provide.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.
You may not copy, modify, distribute, sell, or reverse engineer any part of the Services except as permitted by law.
4. Disclaimers & Limitation of Liability
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Prebrief will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenues, or data, arising out of or related to your use of or inability to use the Services.
5. Third-Party Services & Marketplace
The Services may integrate with or depend on third-party products or services, such as calendar providers, communication tools, payment processors, venue providers, or equipment vendors ("Third-Party Services").
- Venues & Equipment: We may facilitate the booking of venues or the rental/purchase of equipment through partnerships with third-party vendors. Prebrief acts solely as an intermediary for these transactions. We do not own, operate, or guarantee the quality of any venues or equipment provided by third parties.
- Commissions: Prebrief may receive a commission or fee from Third-Party Services for facilitating these connections. This cost may be borne by you, the vendor, or shared, as detailed at the time of checkout.
- Separate Terms: Your use of any Third-Party Service is subject to that provider's own terms and policies (e.g., a venue's rental agreement or a vendor's return policy). It is your responsibility to review these terms before entering into a transaction.
Prebrief does not control and is not responsible for Third-Party Services, and your use of them is at your own risk.
6. Term & Termination
These Terms apply from the time you first access the Services and continue until your account is closed or your access is otherwise terminated.
We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, pose a risk to other users, or where we are required to do so by law.
7. Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Hong Kong Special Administrative Region, unless another jurisdiction is required by mandatory local law.
Part B: Service Professionals
These terms apply to users who use Prebrief to provide services to others.
7. Professional Obligations
You are solely responsible for your interactions and relationships with your clients and for any services you provide to them. Prebrief does not provide professional services to your clients and does not control how you use information obtained through the Services.
You represent and warrant that you hold all necessary licenses, certifications, and insurances required to provide your services in your jurisdiction.
8. Client Data Management
You are responsible for obtaining all necessary notices, consents, and permissions from your clients and for ensuring that your use of the Services complies with applicable data protection and privacy laws.
Client Portability & Persistence: You acknowledge and agree that the Services are designed to support client autonomy and continuity of care.
- Transfer: At the explicit request of a Client, Prebrief may facilitate the transfer of that Client's records (including information you have input, such as session notes or schedules) to another Service Professional on the platform.
- Persistence: Client-specific records (such as session history, past/future appointments, and shared documents) are associated with the Client's account. If you terminate your account or your access to the Services is suspended, these Client-specific records will remain accessible to the Client and will not be deleted, unless the Client also requests deletion of their own account.
You remain solely responsible for maintaining any records required by your professional regulations or local laws (e.g., for audit or regulatory purposes) independently of the Services.
9. Fees & Subscriptions
Our pricing and subscription models are available on our website.
Part C: Clients
These terms apply to users who use Prebrief to receive services.
10. Booking, Payments & Commissions
When you book a service with a Service Professional, you are entering into a direct contract with that professional. Prebrief is not a party to that contract.
- Direct Agreement: You acknowledge that the Service Professional is solely responsible for the services they provide. Any specific terms, conditions, warranties, or representations associated with those services (including cancellation policies, refunds, and service outcomes) must be agreed upon directly between you and the Service Professional.
- Platform Fees: Prebrief may charge a commission or service fee for the use of our platform to facilitate bookings and payments. This fee is for the software service we provide to you (the scheduling and payment infrastructure) and is separate from the fee you pay to the Service Professional for their services. Any applicable platform fees will be clearly displayed to you before you confirm a booking.
- Payment Processing: We use third-party payment processors to handle transactions. By making a payment, you agree to their terms of service. Prebrief does not store your full payment credentials.
11. Your Records & Data
Your session records, schedule, and personal data are associated with your account. You have the right to access this information and, as described in our Privacy Notice, to request its transfer to another Service Professional on the platform.
Disputes: Because Prebrief is not a party to the contract between you and the Service Professional, we are not responsible for resolving disputes regarding the quality, timing, or legality of the services provided. However, we may offer tools to help facilitate communication or refunds at our discretion.
